OM / CIM (Offering Memorandum / Confidential Information Memorandum)
The primary marketing document a seller or broker distributes to prospective buyers or lenders, summarizing a deal's financials, asset details, and investment thesis.
An OM is typically used in real estate sales; a CIM is the equivalent for corporate M&A and private equity deal marketing. Both are the starting point for underwriting — extracting the real financials from an OM/CIM (rather than taking its projections at face value) is one of the first steps in any serious diligence process.
